What we solve

A contract is written for the day it fails

Contracts downloaded from the internet work while both parties comply. The problem appears when someone breaches and it turns out there was no termination clause, no way to prove delivery, and no agreed jurisdiction.

We draft and negotiate the contract around the actual transaction and the risk the company is willing to take on, not around a generic template.

Frequently asked questions

Questions we are often asked

Is a contract downloaded from the internet good enough?

It works while both parties comply — which is precisely when it is not needed. The problem appears on breach: what is usually missing is the termination clause, the means of proving delivery, or the agreed jurisdiction. A contract is written for the day it fails.

Which clauses should never be missing?

A clear subject matter, price and payment terms, deadlines, each party's obligations, grounds for termination, penalties for breach, confidentiality where applicable, and jurisdiction. Which are critical depends on the transaction: a recurring supply arrangement is not the same as a one-off engagement.

Is an electronically signed contract valid?

Electronic signatures are valid where they meet the requirements of the applicable regulations. What matters in practice is being able to prove who signed and that the document was not altered afterwards, so the method chosen matters.

Should I have a contract sent to me reviewed?

Yes, and it is one of the highest-return engagements. Contracts drafted by the counterparty tend to allocate risk in their favor through clauses that go unnoticed: asymmetric penalties, unilateral termination rights or inconvenient jurisdictions. Reviewing it beforehand costs a fraction of litigating it later.
